Confirmidy, LLC (“Confirmidy”, “us”, “our”, or “we”), provides the information and services on its website and benefit technology platform (the “Sites”) under the following terms and conditions. By accessing or using the Sites, you, and to the extent applicable, the entity on behalf of which you are using the Sites (“you”, “your”, or “user(s)”), indicate your acceptance of these terms and conditions. We may update these terms and conditions from time to time, and your continued use of the Sites after we post any changes constitutes your acceptance of such changes.

Laws and Regulations

Access to and use of the Sites are subject to all applicable international, federal, state, and local laws and regulations. You agree not to use the Sites in any way which violates such laws or regulations. You may not use the Sites in any manner which could damage, disable, overburden, or impair the Sites or interfere with any other party’s use and enjoyment of the Sites. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided through the Sites.

Use of Communication Services

The Sites may contain bulletin board services, chat areas, news groups, forums, communities, personal webpages, calendars, or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, “Communication Services”). You agree to use the Communication Services only to post, send, and receive messages and materials that are proper and related to the Communication Services. You shall not:

defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of others (i.e. right of privacy, right of publicity, etc.);
publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful topic, name, material, or information;
upload files that contain software or other material protected by law unless you own or control the rights thereto or have received all necessary consents;
upload files that contain viruses, corrupted files, or other similar software or programs that may damage the operation of another’s computer;
advertise or offer to sell or buy any goods or services for any business purposes, unless such Communication Service specifically allows such messages;
conduct or forward surveys, contests, pyramid schemes, or chain letters;
download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner;
falsify or delete any author attributions, legal, or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded;
restrict or inhibit any other user from using and enjoying the Communication Services;
violate any code of conduct or other policies which may be applicable for any Communication Service;
harvest or otherwise collect information about others, including email addresses, without their consent; or
violate any applicable laws or regulations.

Confirmidy has no obligation to monitor Communication Services, but Confirmidy may review materials posted to a Communication Service and remove any materials at its sole discretion. Confirmidy may terminate your access to any or all Communication Services at any time, without notice, for any reason.

Further, Confirmidy may disclose any information on Communication Services, to satisfy any applicable law, regulation, legal process, or governmental request. Additionally, Confirmidy may edit, refuse to post, or remove any information or materials, in whole or in part, in Confirmidy’s sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children on any Communication Service. Confirmidy does not control or endorse the content, messages, or information found on any Communication Service and therefore, Confirmidy specifically disclaims any liability regarding the Communication Services and any actions resulting from your use of Communication Services.

Finally, posting, uploading, inputting, providing, or submitting your content to the Confirmidy’s Sites or Communication Services you grant Confirmidy permission to use, distribute transmit, publicly display, publicly perform, reproduce, edit, translate, reformat, and publish your content. No compensation will be paid with respect to the use of your content. Confirmidy is under no obligation to post or use any of your content. Confirmidy may remove your content at any time, in Confirmidy’s sole discretion. By providing content on the Sites or Confirmidy’s Communication Services you represent and warrant you own or otherwise control all rights to your content.

Intellectual Property Rights

The Sites and their entire contents, features, and functionality (including but not limited to all information, software, texts, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Confirmidy, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These terms and conditions permit you to use the Sites for your personal, non-commercial use only, unless otherwise permitted via a written agreement between you and Confirmidy. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Sites, except as follows:

your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials;
you may store files that are automatically cached by your Web browser for display enhancement purposes;
you may print or download one copy of a reasonable number of pages of the Sites for your own personal, non-commercial use, but not for further reproduction, publication, or distribution; and
if we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

You shall not:

modify copies of any materials from the Sites;
use any illustrations, photographs, video or audio sequences, or any graphics without written permission of Confirmidy other than printing or downloading one copy of pages of the Sites for personal use as described above;
delete or alter any copyright, trademark, or other proprietary rights notice from copies of materials from the Sites;
provide another person or third party with access to any part of the Sites in breach of these terms and conditions; and
access or use for any commercial purposes any part of the Sites or any services or materials available through the Sites, unless permitted via written agreement between you and Confirmidy. Upon such agreement, all access and use of the Sites must comply with these terms and conditions.

If you violate any of these terms and conditions, your right to use the Sites will cease immediately, and you must, at our option, return or destroy any copies of materials you have made and cease all use of the Sites and applications. Any use of the Sites not expressly permitted by these terms and conditions is a breach of these terms and conditions and may violate copyright, trademark, patent, trade secret, and other laws.

No right, title, or interest in or to the Sites or any content therein is transferred to you by your use of the Sites, any Confirmidy applications, or the content provided therein, and all rights not expressly granted are reserved by Confirmidy.

Trademarks

Confirmidy ^TM, the logo and all related names, logos, products and service names, designs, and slogans (collectively, “Brand Assets”) are marks of Confirmidy or its affiliates or licensors. You shall not use the Brand Assets without prior written permission of Confirmidy, and any use of Brand Assets must comply with Confirmidy’s Proper Usage Guidelines.

Third-Party Intellectual Property

To the extent any third-party marks, logos, content, or other intellectual property are used on the Sites, you are not granted any rights in or to such intellectual property by accessing or using the Sites.

Copyright Infringement Claims.

If you are a copyright owner or an agent thereof and believe any content on the Sites infringes upon your copyrights, you may submit a copyright infringement notification to our copyright agent pursuant to the Digital Millennium Copyright Act and our DMCA policy, by sending the notification to the following address: Confirmidy, ATTN: Counsel, 116 Agnes Rd, STE 200, Knoxville, TN 37919.

Tampering

You agree not to modify, move, add to, delete, or otherwise tamper with the information contained in the Sites. You also agree not to decompile, reverse engineer, disassemble, or unlawfully use or reproduce any of the software, material protected by copyright or trademark, trade secrets, or other proprietary information contained on or in the Sites. You are prohibited from probing, scanning, or testing the vulnerability or security of the Sites or any Confirmidy system or network. You are prohibited from using any automated system or software to extract or scrape data from the Sites or other interfaces through which we make our Sites available, unless authorized by Confirmidy, in writing.

Data Usage

Confirmidy’s Sites and mobile applications may include products and services that are available via a mobile device. To the extent you access Confirmidy’s products and services through a mobile device, your wireless service carrier’s standard charges, data rates, and other fees may apply. Additionally, downloading, installing, or using certain products or services may be prohibited by your carrier, and not all products and services may work with all carriers or devices.

Third Party Information

Although Confirmidy monitors the information on the Sites, some of the information is supplied by independent third parties, not affiliated with Confirmidy. While Confirmidy uses commercially reasonable efforts to ensure accuracy of information on the Sites, Confirmidy makes no warranty either written or implied as to the accuracy of any information.

You understand Confirmidy does not operate, control or endorse any information, products, or services on the Sites, in any way, except for information, products, or services clearly identified as being supplied by Confirmidy. Any opinions, advice, statements, services, offers, or other information contained in third party content are those of their respective authors and not of Confirmidy.

Links to Third Party Sites

The Sites may contain links where you can access other websites that are not under the control of Confirmidy. The links are only provided as a convenience and Confirmidy does not endorse any of these websites. Confirmidy assumes no responsibility or liability for any material that may be accessed on other websites reached through the Sites, nor does Confirmidy make any representation regarding the quality of any product or service contained at any third-party website.

Links From Third Party Sites

Confirmidy prohibits unauthorized links to the Sites and the framing of any information contained on the Sites or any portion of the Sites. Confirmidy reserves the right to disable any unauthorized links or frames. Confirmidy has no responsibility, nor liability, for any material on other websites that may contain links to these Sites.

No Warranties

Information and documents provided on the Sites are provided “as is” without warranty of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. Confirmidy uses reasonable efforts to include accurate and up-to-date information on the Sites; it does not, however, make any warranties or representations as to its accuracy or completeness. Confirmidy periodically adds, changes, improves, or updates the information and documents on the Sites without notice. Confirmidy assumes no liability or responsibility for any errors or omissions in the content of the Sites. Your use of the Sites is at your own risk.

Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL CONFIRMIDY BE LIABLE FOR ANY DAMAGES SUFFERED BY YOU, INCLUDING ANY INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITAITON, ANY LOST PROFITS OR DAMAGES FOR BUSINESS INTERRUPTION, LOSS OF INFORMATION, PROGRAMS, OR OTHER DATA) THAT RESULT FROM ACCESS TO, USE OF, OR INABILITY TO USE THE SITES, OR DUE TO ANY BREACH OF SECURITY ASSOCIATED WITH THE TRANSMISSION OF INFORMATION THROUGH THE INTERNET, EVEN IF CONFIRMIDY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

THE SITES, INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION ON THE SITES. CONFIRMIDY MAY MAKE CHANGES TO THE SITES AT ANY TIME. ADVICE RECEIVED VIA THE SITES SHOULD NOT BE RELIED UPON FOR PERSONAL, MEDICAL, LEGAL, OR FINANCIAL DECISIONS, AND YOU SHOULD CONSULT APPROPRIATE PROFESSIONALS FOR SPECIFIC ADVICE TAILORED TO YOUR SITUATION.

CONFIRMIDY MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, OR ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, OR RELATED GRAPHICS ON THE SITES FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY OR CONDITION OF ANY KIND. CONFIRMIDY HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE INFORMATION, SOFTWARE PRODUCTS, SERVICES, AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PUPROSE, TITLE, AND NON-INFRINGEMENT.

Because some states or jurisdiction do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. If you are dissatisfied with any portion of the Sites, or with any of these Terms of Use, your sole and exclusive remedy is to discontinue using the Sites.

Privacy

Security

Data transmitted to and from Confirmidy Sites are encrypted for the user’s protection. However, the security of information transmitted through the Internet can never be guaranteed. Confirmidy is not responsible for any interception or interruption of any communications through the Internet or for changes to or losses of data. You are responsible for maintaining the security of any password, user ID, or other form of authentication involved in obtaining access to password protected or secure areas of the Sites. To protect you and your data, Confirmidy may suspend your use of the Sites, without notice, pending an investigation, if any breach of security is suspected.

Transmission of Personal Data

You acknowledge and agree that by providing Confirmidy with any personal information through the Sites, you consent to the transmission of such personal user information over international borders as necessary for processing in accordance with our standard business practices and privacy policy.

Access to Password Protected and Secure Areas

Access to and use of password protected, or secure areas of the Sites is restricted to authorized users only. Unauthorized access to such areas is prohibited and may lead to criminal prosecution.

Opt-Out or Unsubscribe

We respect your privacy and give you an opportunity to opt-out of receiving announcements of certain information. You may opt-out of receiving any or all communications from Confirmidy by contacting us at:

Social Content

Confirmidy uses various social channels as a way for the company and its audience to start conversations, share experiences, and form new communities. Confirmidy’s goal is to maintain a positive experience for all users on these channels. Accordingly, Confirmidy prohibits content that Confirmidy, in its sole discretion, considers illegal, obscene, lewd, lascivious, filthy, violent, harassing, or otherwise objectionable. Confirmidy may, but has no obligation to, review the content placed on its social channels. If Confirmidy discovers content that, in its sole discretion, it deems a violation of these terms and conditions or that is otherwise illegal, Confirmidy may, but has no obligation to, act, including restricting access to the content, removing the content, and limiting or terminating a user’s access.

SMS

As part of Confirmidy’s services, we may send you certain messages via SMS. These messages are sent for security purposes (such as dual factor authentication or resetting your password) or related to our systems. Text messaging originator opt-in data and consent information will not be shared with any third parties.

You can cancel the SMS service at any time. Just text “STOP” to the short code. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm you have been unsubscribed. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

Confirmidy is not liable for delayed or undelivered messages. As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Jurisdiction and Governing Law

These terms and conditions shall be governed and construed in accordance with the laws of the State of Tennessee, USA, and applicable federal laws without regard to conflicts of law principles. You agree that all proceedings relating to the Sites and subject matter contained herein shall be maintained in the courts of the State of Tennessee or the federal district courts sitting in Tennessee, which courts shall have exclusive jurisdiction for such purpose. Use of the Sites is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation, this paragraph.

Modification

Confirmidy may change the terms, conditions, notices of the Sites, at any time, including deleting content provided by you on the Sites.

Termination

Confirmidy may, in its sole discretion, terminate your access to the Sites if you fail to follow these policies. Confirmidy may revoke access immediately, without notice or cause.

Non-Acceptance

If at any time you choose not access these Terms of Use, your only recourse is to discontinue use of the Sites and delete or disable your user account.

Severability

If any term or other provision of these Terms of Use is determined by a court of competent jurisdiction to be invalid, illegal, or incapable of being enforced by any rule of law or public policy, all other terms, provisions, and conditions of this agreement shall nevertheless remain in full force and effect.
